In 2017, Carlyle acquired a 26% stake from GE Group for Rs 2,000 crore via its affiliate CA Rover Holdings, marking Carlyle's entry into the company as GE exited its 40% stake, split between SBI and Carlyle. The investment came from Carlyle's fourth Asia buyout fund focusing on control and significant minority stakes in established Asian companies. Following the 2017 investment, Carlyle began divesting portions of its stake, achieving substantial returns. In the March 2020 IPO, Carlyle sold 10% for Rs 7,000 crore, yielding an 8.5 times gain in three years despite shares listing at a discount amid pandemic market turmoil. Subsequent block deals included a 4% stake sale for $513 million in March 2021 at Rs 981.80-1,022.10 per share, reducing its holding from 15.86%, followed by a 5.1% stake offload for around $675 million at Rs 1,002-1,041.3 per share, bringing stake to 6.5%, and further sales like 2.78% for Rs 2,229 crore in 2022. By April 2021, SBI Cards had 11.9 million cards outstanding with over Rs 11,000 crore in transactions. The company expanded partnerships, including contactless payments with Mastercard and co-branded cards with Paytm in November 2020. Carlyle held 3.09% stake by end-2021 Q4, fully exiting over time with cumulative gains from the initial investment.
