lnterise Trust Overview

About lnterise Trust

Interise Trust is an Indian infrastructure investment trust formed in 2018 and formerly named IndInfravit Trust. It owns operating highway concessions through project companies and is listed on the National Stock Exchange of India and BSE on a private-placement basis. The current portfolio covers 15 road projects totaling about 6,400 lane kilometres across eight Indian states, with roughly 500,000 vehicles using the network each day. Revenue is generated primarily from toll collections and annuity payments under long-term road concessions. An external investment manager oversees capital allocation, operations, maintenance, safety and stakeholder obligations across the portfolio. Institutional unitholders have included CPP Investments, OMERS, Allianz and domestic Indian investors. The trust changed its legal name to Interise in June 2024 but remains the same investment platform acquired by OMERS under the IndInfravit name in 2019.

lnterise Trust Funding Rounds

DateStageInvestorsRaisedValuationRev. MultipleDeal Summary
Dec-24SecondaryOMERS--OMERS completed the acquisition of Allianz Capital Partners' 13.5% interest in Interise Trust on 12 December 2024, increasing the pension plan's holding from 21.3% to 34.8%. OMERS had signed the negotiated secondary transaction on 9 September and announced it on 10 September, while Interise's later regulatory reporting identifies 12 December as the effective ownership date. The transfer comprised approximately 13.48% of Interise units and related ownership in the trust's investment manager through OMERS entities. Interise owned a diversified portfolio of toll and annuity road concessions across eight Indian states and managed thousands of lane kilometres of national highway infrastructure. OMERS said the transaction increased its exposure to Indian economic growth in a transport platform it already knew and preserved its partnership with CPP Investments, the largest investor. The pension plan's 2024 results confirms the stake increase was completed during the year. Terms were not disclosed, so the file records the percentage and completion date without estimating the consideration or trust valuation.
May-21SecondaryCPP Investments$137M--
Feb-19SecondaryOMERS-$122MOn 22 February 2019, OMERS Infrastructure announced that it had acquired a 22.4% interest in IndInfravit Trust, now named Interise Trust, for INR 8.7 billion. The transaction was OMERS' first direct infrastructure investment in India and gave the pension plan a material negotiated stake in an operating road-infrastructure platform. IndInfravit then held five toll-road concessions constructed and operated by L&T Infrastructure Development Projects in economically active Indian states. Other unitholders included CPP Investments, Allianz Capital Partners, L&T IDPL and domestic institutions, but the release describes OMERS' purchase as its own secondary acquisition and does not identify those holders as new buyers in the same event. OMERS cited India market entry, Asia-Pacific diversification and the ability to support future road acquisitions as the investment rationale. The trust subsequently expanded its highway portfolio and changed its legal name to Interise in June 2024 without breaking entity continuity. The INR 8.7 billion consideration is recorded as the transaction valuation because the source expressly ties that amount to OMERS' acquired 22.4% interest.
