Varroc Engineering Funding Rounds

DateStageInvestorsRaisedValuationRev. MultipleDeal Summary
Apr-14Undisclosed stageTata Opportunities Fund (TOF)$50M-Varroc Engineering Private Limited is a leading Indian auto component manufacturer based in Aurangabad, with particular strength in the two-wheeler segment. The company specializes in plastics and polymers, metallic parts, and electrical components for domestic customers including Bajaj, Honda, Yamaha, Hero, Royal Enfield, Mahindra, and Tata Motors. Globally, Varroc serves premium automotive brands including Jaguar Land Rover, Ford, Tesla, General Motors, Volkswagen, Bentley, and Nissan. The company had acquired the global automotive lighting business of Visteon (formerly a Ford division) in 2012, significantly expanding its international operations. In April 2014, Tata Opportunities Fund (TOF), the flagship private equity fund of Tata Capital, announced its investment of Rs 300 crore ($50 million) in Varroc Engineering Private Limited. This was TOF's first investment outside of Tata Group companies, marking a significant expansion of the fund's investment mandate. The investment was structured as a growth capital infusion, with Varroc using the proceeds to expand capacity and partially repay outstanding debt. TOF acquired approximately 15% of Varroc's equity in the transaction. At the time of the investment, Varroc reported revenues exceeding Rs 6,900 crore (approximately $1.15 billion USD), with nearly half generated from overseas operations. The company was led by founder and managing director Tarang Jain, a first-generation entrepreneur, supported by professional management teams across India, North America, Europe, and China. Varroc was positioned as India's third-largest auto components manufacturer. TOF played an active value-creation role beyond capital provision, assisting Varroc with strategic planning, business development, mergers and acquisitions, and board and senior leadership strengthening. The investment proved successful; by the time of TOF's exit through Varroc's IPO in July 2018, the fund had achieved a gross Internal Rate of Return exceeding 50% and a gross Multiple of Invested Capital of approximately 6 times over the ~4-year holding period. During this hold, Varroc achieved over 2x growth in EBITDA and approximately 4x growth in return on equity, with high revenue growth of over 20% CAGR and margin expansion.
