EXCO Resources Overview

About EXCO Resources

EXCO Resources is a United States oil and natural-gas exploration and production company headquartered in Dallas, Texas. Its operations include acquiring petroleum interests, developing wells and producing hydrocarbons from onshore properties. During the period covered by its 2015 annual report, the company operated principally in East Texas, North Louisiana, South Texas and Appalachia. Its development activities included the Haynesville and Bossier natural-gas shales and the Eagle Ford oil and gas play. The business sold natural gas, oil and natural-gas liquids to commercial purchasers, with revenue dependent on production volumes and commodity prices. EXCO operated properties both for its own account and through arrangements with other working-interest owners. Its Eagle Ford participation agreement with KKR involved ownership of specified acreage and wells rather than an acquisition of EXCO corporate shares. The company also managed gathering, transportation and marketing requirements associated with its production. This profile identifies the US energy producer and distinguishes it from the unrelated Canadian mineral-exploration company Nexco Resources.

EXCO Resources Funding Rounds

DateStageInvestorsRaisedValuationRev. MultipleDeal Summary
Mar-07Undisclosed stageAres Management$2B-EXCO Resources, the New York Stock Exchange-listed oil and natural gas producer based in Dallas, entered into a Preferred Stock Purchase Agreement on 28 March 2007 under which it sold $390 million of 7.0% cumulative convertible perpetual preferred stock and $1.61 billion of hybrid preferred stock to a group of investors, and the transaction closed on 30 March 2007. EXCO said the $2.0 billion of cash proceeds were used to make a $1.67 billion contribution to EXCO Partners to close its acquisition of oil and gas properties from Anadarko, including the Vernon and Ansley fields in Jackson Parish, Louisiana, to repay $262.5 million of debt at EXCO Partners and to reduce borrowings under its revolving credit facility. The preferred shares were convertible into EXCO common stock under certain conditions, subject to shareholder approval for the hybrid series. Funds managed by Ares Management, namely Ares Corporate Opportunities Fund and Ares Corporate Opportunities Fund II with their co-investment vehicles, bought 2,925 shares of Series C 7.0% preferred and 12,075 shares of Series A-1 hybrid preferred for an aggregate $150 million, according to their Schedule 13D. Ares had been a shareholder since EXCO's 2005 equity buyout and gained the right to appoint a director; Jeffrey Serota joined EXCO's board at the closing. EXCO acquired, developed and exploited oil and natural gas reserves in East Texas, North Louisiana, the Mid-Continent and Appalachia.

Latest Acquisitions by EXCO Resources

EXCO Eagle Ford three-well interests (March 2015)
Description
The EXCO Eagle Ford three-well interests comprise an identified package of working interests in three gross producing wells in South Texas. The package was transferred to EXCO in March 2015 under the repurchase provisions of its development partnership with KKR-affiliated investors. The acquired interests represented approximately 1.4 net wells, reflecting fractional ownership rather than ownership of three entire wells. The underlying operations produce petroleum from the Eagle Ford shale and generate revenue through commercial sales of oil, natural gas and associated liquids. EXCO operated the development arrangement and acquired the interests after the wells met the agreement's production-history requirements. This profile identifies an operating petroleum-asset package rather than a separately incorporated business or the entire EXCO company. The acquisition was distinct from later proposed well packages that were rejected or disputed. The financial report provides a specific closing date and cash purchase price for this initial completed package.
