First Gen Funding Rounds

DateStageInvestorsRaisedValuationRev. MultipleDeal Summary
Aug-21SecondaryKKR--KKR announced a further tender offer for First Gen common shares on August 27, 2021 through Philippines Clean Energy Holding, a subsidiary of its Valorous investment vehicle. The offer initially sought between 3.0% and 5.7% of outstanding common shares. Shareholders were offered PHP33 per common share during an acceptance period running from September 1 through September 29, 2021. The transaction followed KKR’s initial acquisition of shares through a separate tender in 2020. On October 8, 2021, the vehicle acquired 262,937,672 common shares for approximately PHP8.7 billion, equivalent to a 7.3% economic interest. This was a purchase from existing shareholders and did not constitute a capital raising by First Gen. The final number of accepted shares exceeded the initial maximum sought. KKR increased its minority holding while First Philippine Holdings remained the controlling shareholder of the Philippine electricity generator.
May-20SecondaryKKR--KKR entered First Gen through a public tender offer filed on May 26, 2020 by Valorous Asia Holdings, an investment vehicle controlled by KKR funds. The offer opened the following day and initially sought up to 323,812,305 common shares at PHP22.50 each. Existing shareholders could sell their shares for cash under the published tender conditions. Following the offer period, KKR acquired 427,041,291 common shares on July 1, 2020 for approximately PHP9.6 billion. The final number of accepted shares exceeded the original offer size. The acquisition gave KKR a minority investment in the listed Philippine electricity generator, rather than control of the business. First Gen operated natural gas and renewable power assets and remained associated with First Philippine Holdings. The consideration related to purchased shares and was not new financing raised by First Gen. KKR’s subsequent additional tender in 2021 is a separate investment event.
