About Kiwibank

Kiwibank is a New Zealand-owned retail and business bank headquartered in Wellington and launched in 2002 after being established in 2001. It offers transaction and savings accounts, home loans, credit cards, business banking and related financial services to households and small and medium-sized enterprises. The bank earns primarily through net interest income on lending and deposits plus fees for selected banking services. During the 2016 transaction it sat within Kiwi Group Holdings alongside New Zealand Home Loans, Kiwi Wealth and Kiwi Insurance. NZ Post, NZ Super Fund and ACC owned the holding company after the negotiated secondary purchase. Since November 2022 Kiwibank has remained fully Crown owned through Kiwi Group Capital while operating with its own board and commercial banking mandate.

Kiwibank Funding Rounds

DateStageInvestorsRaisedValuationRev. MultipleDeal Summary
Nov-22SecondaryNew Zealand Government--On 30 November 2022 Kiwi Group Capital, a newly established Crown company, acquired 100% of Kiwi Group Holdings from New Zealand Post, Accident Compensation Corporation and the NZ Super Fund after Reserve Bank approval. The NZ Super Fund sold its 25% interest for NZ$527 million, realising an investment it had made in 2016 and supplemented with NZ$61.75 million of capital in 2017. The Government said the transaction preserved full New Zealand public ownership and simplified the long-term ownership structure of Kiwibank and New Zealand Home Loans. Kiwibank's financial statements provide the exact completion date, while the Fund's August announcement provides its individual sale proceeds and ownership percentage. The Fund reported that its six-year investment earned more than 10% per annum and said the sale was commercially attractive, although it had earlier considered increasing its ownership. Kiwibank continued to operate independently with its own board under the new Crown parent.
Apr-17Undisclosed stageAccident Compensation Corporation; NZ Super Fund$170M-Kiwibank, a New Zealand-based bank owned by NZ Post, received a $247 million capital injection through common equity subscription by its shareholders—NZ Post, the NZ Super Fund, and ACC—via Kiwi Group Holdings Limited, effective around 10 April 2017. This followed a preliminary Reserve Bank of New Zealand decision on Kiwibank's convertible capital instruments, with shareholders funding proportionate to existing holdings to maintain capital ratios. Kiwibank maintained its position that the instruments were compliant and continued discussions with the RBNZ, which later resolved in its favor in August 2017. For the year ended 30 June 2017, Kiwi Group Holdings (including Kiwibank) reported unaudited underlying profit of $129 million (down 1.5% from prior year) and net profit after tax of $58 million, impacted by a $90 million ($65 million after tax) impairment on the CoreMod IT project. Lending and advances grew 6.8% to $17.8 billion, customer deposits increased 8.1% to $16.0 billion, SME market share reached 8.0%, and KiwiSaver membership rose 13%. Funds under management hit nearly $4 billion with over 158,000 KiwiSaver customers. Financial strength was evident in capital ratios post-injection: Common Equity Tier 1 at 12.30% (vs. 7.0% requirement), Tier 1 at 12.30% (vs. 8.5%), and Total Capital at 13.40% (vs. 10.5%), excluding a $300m uncalled facility. Agency ratings included S&P A Stable, Moody’s A1 Stable, and Fitch AA- Stable. Earlier, NZ Post divested 47% of its Kiwibank shareholding to ACC and NZ Super Fund in October 2016. For the half-year to December 2016, Kiwibank Banking Group net profit after tax was $63 million, down 11%. The 2017 events supported Kiwibank's growth in deposits, lending, and wealth management amid regulatory capital adjustments.
