May-23SecondaryPPF Group--On 26 May 2023 Advent International agreed to sell shares equivalent to 15% of InPost S.A.'s total share capital to PPF Group at a price of EUR 10.00 per share. The aggregate consideration was not disclosed by either party. On completion Advent remained InPost's largest shareholder with 30.3% of the share capital, while PPF became the second-largest shareholder; PPF stated that, together with purchases on the open market, its aggregate holding reached 16.75%. Because InPost was already listed on Euronext Amsterdam, the transaction was a sale of shares in a listed company rather than a private M&A deal. Advent also granted PPF an option to acquire a further 15% of InPost's total share capital at an agreed price. Both Advent and PPF agreed to a six-month lock-up on the remainder of their holdings, subject to customary exceptions, with each party permitted to sell shares equivalent to up to 2.0% of InPost's share capital during the lock-up period. De Brauw Blackstone Westbroek advised Advent on the sale. PPF said the investment was consistent with its four stated pillars of e-commerce, financial services, telecommunications and media. InPost is an out-of-home e-commerce delivery company operating a network of more than 29,000 automated parcel machines across nine European countries at the time of the transaction. Advent stated that InPost's revenues and EBITDA had more than doubled since the January 2021 Euronext Amsterdam listing. The company was founded by Rafal Brzoska and is headquartered in Krakow, Poland.
Jan-21IPO--$9.7BOn 27 January 2021 InPost S.A. priced its initial public offering at EUR 16.00 per share and listed on Euronext Amsterdam under the ticker INPST. With 500 million shares outstanding after the offering, the price implied a market capitalisation of EUR 8.0 billion. The offering was entirely secondary: 175,000,000 existing shares, representing 35.0% of the share capital, were sold for EUR 2.8 billion, rising to 201,250,000 shares (40.3%) and EUR 3.2 billion if the over-allotment option were exercised in full. AI Prime & Cy SCA, the entity controlled by funds managed by Advent International, sold 167,908,491 of those shares, alongside Franklin Templeton (3,100,000 shares) and PZU (3,991,509 shares). InPost raised no primary proceeds; all proceeds went to the selling shareholders. The offering consisted solely of private placements to institutional investors, with no public offering in any jurisdiction, and was multiple times oversubscribed at the offer price. Cornerstone investors, including Capital World Investors, committed EUR 1,030.6 million in aggregate. AI Prime granted the joint global coordinators an over-allotment option of up to 15% of the offer shares, or up to 26.25 million shares, exercisable within 30 calendar days of the first trading date. Immediately after settlement and before any exercise of that option, AI Prime held 248,173,329 shares, or 49.6% of the company, and remained the largest shareholder. InPost had announced its intention to float on 13 January 2021; Clifford Chance and STJ Advisors acted on the transaction. InPost described itself at listing as the leading e-commerce enablement platform in Poland, providing delivery through its parcel machine network and to-door couriers as well as fulfilment services to e-commerce merchants, with growing operations in the United Kingdom. The group traces back to Integer.pl S.A., founded in 1999 by Rafal Brzoska, which introduced self-service parcel lockers in 2009. On completion of the IPO, Integer.pl S.A. and its subsidiaries became a subsidiary of InPost S.A.
