The disposal followed the June 2017 agreement under which the fund's holding vehicle CED Group had reduced its stake and the parties agreed to cooperate towards a possible placement of the remaining shares during 2018. Because the shares were placed on the market, no individual acquirer was identified. Enterprise Investors did not publish a return multiple for the final tranche. Kofola produces and distributes branded non-alcoholic drinks in Central and Eastern Europe, including carbonated soft drinks, waters, syrups and juices. Enterprise Investors described it as one of the largest producers of branded non-alcoholic beverages in the region. The group operates in the Czech Republic, Slovakia, Poland, Slovenia and Croatia.
Jun-17Secondary---On 8 June 2017 CED Group, a holding company controlled by Polish Enterprise Fund VI, signed an agreement to reduce its shareholding in the listed beverage producer Kofola CeskoSlovensko. The shares were acquired by Kofola's founders and by the company itself. Gross proceeds from these transactions together with a dividend were approximately EUR 63 million, of which about EUR 42 million was attributable to PEF VI. The transaction was a partial realisation rather than a full exit, leaving the Enterprise Investors vehicle as a continuing minority shareholder. Enterprise Investors' press release stated that CED Group would decrease its stake from 37.3% to approximately 21%, while the firm's 2017 annual summary gives the resulting stake as 25.3% and PEF VI's gross proceeds as EUR 40.8 million. The parties also agreed to cooperate towards a possible placement of CED Group's remaining shares. Kofola produces and distributes branded non-alcoholic drinks in Central and Eastern Europe, including carbonated soft drinks, waters, syrups and juices. The group operates in the Czech Republic, Slovakia, Poland, Slovenia and Croatia and its shares are listed on the Prague Stock Exchange.
Dec-15IPO--$455MOn 2 December 2015 Kofola CeskoSlovensko floated on the Prague Stock Exchange, and CED Group, a holding company controlled by Polish Enterprise Fund VI, sold a 6% stake in the offering. The sale generated gross proceeds of EUR 23 million for the Enterprise Investors side, which retained 37.3% of the company after the listing. Shares were priced at CZK 510 and 1.5 million shares were placed, for a total offer of CZK 765 million. The flotation gave Kofola a dual listing, adding Prague to its existing Warsaw quotation, and was the first Prague Stock Exchange IPO of an Enterprise Investors portfolio company. The stock closed its first trading day at CZK 515, valuing the company at CZK 11.3 billion. Enterprise Investors did not publish a return multiple for the partial exit. Kofola produces and distributes branded non-alcoholic drinks across Central and Eastern Europe, including carbonated soft drinks, waters, syrups and juices. Enterprise Investors described it at the time as one of the leading soft drinks producers and distributors in the region, with operations in the Czech Republic, Slovakia, Poland and Slovenia.
