Instructure Holdings, a leading global learning ecosystem provider offering Canvas (a widely-used learning management system) and Parchment credentialing solutions, was acquired by KKR (with participation from Dragoneer Investment Group) for $4.8 billion in an all-cash transaction. The deal valued Instructure at $23.60 per share, representing a 16% premium over the company's unaffected share price of $20.27 as of May 17, 2024. Thoma Bravo, which had owned approximately 84% of Instructure's equity since taking the company private in 2020 and subsequently bringing it public in 2021, fully exited the investment through this transaction with no rollover equity. The acquisition closed on November 13, 2024, with Instructure transitioning back to private ownership.
