YNAP operates four distinct retail brands—Net-a-Porter, Mr. Porter, Yoox, and The Outnet—which serve different luxury market segments. The combined entity operates under a new holding company called LuxExperience B.V., positioning the group to generate approximately €3 billion in annual GMV immediately post-close, with medium-term targets of €4 billion GMV and over 8% adjusted EBITDA margins. The strategic rationale centers on creating a leading global digital luxury platform with complementary, differentiated storefronts that together offer unprecedented reach and relevance to luxury customers and brand partners. Mytheresa will achieve significant synergies through a shared technology infrastructure and back-office platform while maintaining distinct brand identities and positioning. The transaction included Richemont receiving a 33% equity stake in the combined Mytheresa entity and providing a €100 million revolving credit facility to YNAP for six years. Richemont anticipated a €1.3 billion asset write-down following the transaction. Post-acquisition, the five brands—Mytheresa, Net-a-Porter, Mr. Porter, Yoox, and The Outnet—will operate under a streamlined structure with the off-price division (Yoox and The Outnet) separated from the luxury division for a simpler operating model. YNAP's white label service business will be discontinued as Richemont Maisons' online stores are migrated to alternative platforms.
