Feb 2014Strategic investmentAllianz$150MAllianz SE acquired an 8.33% stake in FC Bayern München AG through a capital increase for EUR 110 million, the club announced on 11 February 2014. The share issue lifted the company's share capital to EUR 30 million and left each of its three strategic partners, adidas, Audi and Allianz, with 8.33%, while the member association FC Bayern München e.V. kept 75% of the shares in line with its articles. The club said it intended to use the EUR 110 million to repay the remaining liabilities of the Allianz Arena, which would make the stadium debt-free, and to build a new youth academy in Munich. Allianz, the Munich-based insurance group, had been a long-standing partner of the club and had held the naming rights to its stadium since it opened in 2005. Finance director Jan-Christian Dreesen said the partnership with a global company rooted in sport placed the collaboration on an entirely new footing, and club president Uli Hoeneß said the decision had been taken unanimously by the club's presidium and advisory board. With adidas and Audi, Allianz made FC Bayern a club with three Bavarian corporate shareholders. In the 2012-13 financial year, reported in November 2013, the club had generated record revenue of EUR 432.8 million, a season in which it won the Bundesliga, the German Cup and the Champions League. FC Bayern München, founded in 1900, plays at the Allianz Arena in Munich.
Nov 2009Strategic investmentAudi$136MAudi agreed in November 2009 to acquire a 9.09% stake in FC Bayern München AG, the company that runs the professional football operations of FC Bayern München, for EUR 90 million. The deal, reported on 26 November 2009, provided for Audi to take over 2.5 million shares in three steps between March 2010 and July 2011 at the latest. The transaction was linked to a capital increase of EUR 2.5 million that lifted the company's share capital from EUR 25 million to EUR 27.5 million, with the member association FC Bayern München e.V. remaining the majority shareholder and adidas, which had held 10% since 2002, being diluted. Audi, the Ingolstadt-based premium carmaker in the Volkswagen Group, had worked closely with the club since 2002 as its exclusive vehicle partner, and a fan club of its employees founded in 2003 was the club's largest, with about 5,000 members. The investment made Audi the second strategic shareholder of the club alongside adidas. At the annual general meeting on 27 November 2009 the club reported that the FC Bayern München AG group, including the Allianz Arena stadium company, had generated revenue of EUR 303.8 million and EBITDA of EUR 65.5 million in the September 2008 financial year, which ended on 30 June 2009, and a profit after tax of EUR 2.5 million. It was the 17th consecutive profitable year for the club despite the global financial crisis. FC Bayern, founded in 1900 and based in Munich, is Germany's record champion.
Sep 2001Strategic investmentadidas$71Madidas-Salomon agreed on 18 September 2001 to take a 10% stake in the company that FC Bayern München was about to create for its professional football operations, and it paid almost EUR 77 million for the shareholding when FC Bayern München AG began operating in 2002. When the agreement was signed the new company still had to be set up, and adidas said the purchase price was expected to be about EUR 75 million. The stake was acquired through an issue of new shares, and the proceeds went to the new company, which was being formed to professionalise the club's structures and to help finance a new stadium, later the Allianz Arena. At the same time adidas extended its kit sponsorship of the club until 2010. adidas chief executive Herbert Hainer said the strategic partnership opened up new business areas for the company, such as sports marketing and the trading of television rights, while club president Franz Beckenbauer welcomed the long-term alliance with the Herzogenaurach-based sportswear maker. Until 2010 its share capital of EUR 25 million was held 90% by the member association FC Bayern München e.V. and 10% by adidas. The club, founded in 1900, was Germany's record champion and had won the Champions League in May 2001. adidas's holding was later diluted to 8.33% when Audi and Allianz joined as shareholders through capital increases.
