ETRO Acquisition
ETRO was acquired by L Catterton for $591M on 18 July 2021.
The acquisition price implies a 2.1x revenue multiple on $280M of revenue.
Etro, an Italian fashion house founded in 1968 by Gimmo Etro and known for its paisley motif, entered into a binding agreement on July 18, 2021, with L Catterton Europe, a private equity firm backed by LVMH. Under the terms, L Catterton Europe acquired a majority stake in the company, while the Etro family retained a significant minority stake. Etro founder Gerolamo Etro was appointed as Chairman. The partnership aimed to support Etro's long-term growth strategy, though specific deal terms like valuation were not disclosed in press releases or announcements. L Catterton later increased its stake slightly over the years, reaching over 70% by early 2025 and around 65% before a subsequent transaction. In December 2024, the Etro founding family sold its remaining minority stake to new investors including Turkish group RAMS Global, Italian fashion group Swinger International, and RSI, alongside a capital increase that diluted L Catterton's ownership to 51-55%. Post-acquisition, Etro faced challenges in its turnaround, with net revenues declining to 245 million euros in the year prior to 2024 from 261 million euros previously, and posting a net loss of 23 million euros. Earlier 2023 figures showed revenues at 261 million euros with an adjusted core loss of 12.7 million euros and net borrowing of 46 million euros.
