About Boxed

Boxed is a New York-headquartered e-commerce platform delivering bulk quantities of groceries, household essentials, and pantry staples directly to consumers across the United States. Established in 2013, it eliminates traditional warehouse club membership fees by providing access to oversized packaging from brands like Procter & Gamble, Clorox, and Kellogg's through its dedicated mobile application. Boxed Acquisition

Boxed was acquired by MSG Distributors for an undisclosed price on 18 August 2023.

Before the acquisition Boxed had raised $246M across 5 funding rounds.

Boxed, an online retailer founded in 2013 specializing in bulk-sized pantry staples, household essentials, and consumables at wholesale prices without membership fees, filed for Chapter 11 bankruptcy in April 2023 amid a 15% year-over-year net revenue decline and $26.4 million quarterly net loss reported in November 2022. In January 2023, its board explored strategic alternatives including a sale due to cash shortages. On August 18, 2023, MSG Distributors, Inc., a regional distributor of consumables, household products, natural foods, and sports nutrition brands like PowerBar, RxBar, and Cellucor serving B2B accounts via facilities in New York, Florida, Texas, and California, completed an all-cash acquisition of Boxed.com, its intellectual property portfolios, affiliates, brand, and site from Boxed Inc.'s bankruptcy estate, with no financial terms disclosed. MSG aims to revitalize boxed.com by leveraging its distribution infrastructure for nationwide expansion, offering Boxed customers next-day delivery, reintroducing established household brands, and adding new items to meet grocery and home goods needs in both B2C and B2B markets. MSG President Mark Gadayev stated the deal strengthens inorganic growth and diversifies distribution models, preserving customer and vendor loyalty while enhancing processing capacity with patented warehouse innovations. The acquisition preserves service continuity for Boxed's vendors and brands while expanding MSG's e-commerce and fulfillment capabilities.

Aug 2018Series DAEON RETAIL (lead); Gabriel Naouri; Alpha Square Group; Nomura; CDIB Capital; Daniel Schryer$111M$600MBoxed is a New York-based e-commerce company founded in 2013 that delivers bulk-sized groceries and household essentials directly to consumers via a mobile app, offering warehouse club products without membership fees and emphasizing a discovery-based shopping experience with items like staples, health and beauty supplies, office pantry goods, and organic products. On August 21, 2018, Boxed raised $111 million in its Series D funding round led by AEON RETAIL (Aeon Co. Ltd., Japan's largest retailer by sales), with participation from Alpha Square Group, CDIB Capital, Gabriel Naouri, Daniel Schryer, and Nomura Holdings as placement agent, plus existing investors. The post-money valuation at the round was $600 million. Proceeds were intended to expand fulfillment operations, ramp up automation with in-house robotics for autonomous vehicles, increase national footprint, boost brand awareness, and collaborate with Aeon on logistics, robotics, AI-driven data usage, and Aeon's digital transformation. Boxed differentiates itself by developing its own software, operating fulfillment centers, and building automation robotics in-house, positioning it at the forefront of commerce fulfillment technology. The company was described as the 'Costco for millennials' and had introduced a paid membership plan prior to the round, with rumors of acquisition interest from Kroger and Amazon. Post-round, Boxed leveraged the Aeon partnership for knowledge sharing and later expanded into SaaS, providing e-commerce solutions to traditional retailers like Aeon in Malaysia in a deal worth several tens of millions of dollars. By 2021, Boxed had raised over $270 million total, improved margins approaching profitability, and seen demand growth during the pandemic, with total funding reaching about $365.9 million by then.
