Aon agreed to acquire USI Insurance Services from KKR and other shareholders for $17.0 billion in an all-cash transaction, with a net purchase price of $16.7 billion after certain tax attributes. The deal is structured to be funded with new debt and is expected to close in the fourth quarter of 2026, subject to regulatory approvals. Aon said the transaction should generate $395 million of annual run-rate net Adjusted EBITDA synergies, including $321 million of net revenue synergies and $280 million of cost synergies, and that the acquisition is expected to be accretive to adjusted earnings per share starting in 2028. The implied net purchase multiple is about 14.5x USI’s synergized Adjusted EBITDA, estimated at $1.2 billion. USI is a middle-market insurance brokerage and consulting platform focused on risk management, employee benefits and retirement consulting. It is the tenth largest U.S. insurance broker, with about $3.0 billion in annual revenue, more than 10,500 employees, and nearly 200 offices across the United States. KKR first backed USI in 2017 in a transaction valued at about $4.3 billion, and said the sale would generate approximately $3.3 billion of after-tax proceeds and roughly $2.0 billion of adjusted net income. Aon characterized the acquisition as part of its strategy to deepen its presence in the U.S. middle-market insurance segment following its earlier purchase of NFP in 2024.
