On January 27, 2017, Enbridge announced it would privatize MEP through a wholly-owned subsidiary acquiring all outstanding publicly-held common units for approximately US$170 million at $8.00 per unit, with the transaction closing in Q2 2017. This represented the purchase of about 21.3 million units, while EEP already owned around 52% of MEP's limited partner interests. The privatization aimed to take MEP private, simplifying Enbridge's corporate structure amid strategic reviews of EEP and preparations for major projects like the Line 3 Replacement program. Enbridge Energy Company, Inc., another subsidiary, funded aspects of related initiatives, with MEP noted as a partial owner of EEP's gathering and processing operations. The deal followed Enbridge's larger merger with Spectra Energy and was part of cost-reduction efforts. Later, in 2018, ArcLight Capital Partners acquired Midcoast Operating, L.P. from Enbridge for $1.1 billion, but this was a separate asset sale post-privatization. |
