The merged entity had an anticipated initial enterprise value of USD 3.2 billion, and the Zegna family retained control with a stake of approximately 62%. Investindustrial described the transaction as a partnership to support Zegna's continuing growth plans, and the group emphasised its vertically integrated Made in Italy luxury textile, clothing and knitwear platform. Founded in 1910 by its namesake, Zegna has evolved from a textile and menswear producer into a luxury house selling globally, and in 2018 acquired a majority stake in the American luxury fashion brand Thom Browne, which the parties cited as evidence of the group's M&A strategy and brand development capability. Chief Executive Gildo Zegna said the family would remain at the company's helm and continue investing in creativity, innovation, talent and technology. Zegna remains in Investindustrial's current portfolio.
