The company operates in electricity generation and trading, with operations across hydro, nuclear, and fossil fuel assets. Fortum, a Finnish energy major, launched an unsolicited takeover bid for Uniper in September 2017 and closed its public takeover offer on June 26, 2018. Fortum acquired 47.12% of Uniper's shares (including E.ON's 46.65% stake) at EUR 21.31 per share, paying a total consideration of EUR 3.7 billion. This transaction was part of Fortum's strategy to expand its clean energy product line and customer base in the electricity market. At the time of the transaction, Uniper reported LTM revenue of $89.3 billion and LTM EBITDA of $2.00 billion. The company had a market capitalization of $11.0 billion and enterprise value of $12.1 billion. Following the June 2018 close, Fortum subsequently acquired additional stakes from activist investors Elliott Management and Knight Vinke, increasing its total shareholding to 73.4% by May 2020.
