Wella is a professional hair care brand that Coty had acquired from Procter & Gamble in 2015 as part of a $12.5 billion beauty portfolio acquisition. In December 2020, Coty divested its professional division—comprising Wella, OPI, and Clairol—to KKR in a transaction valued at $2.5 billion. As part of the deal structure, Coty received $2.5 billion in cash proceeds and retained a 40% equity stake in the Wella business, which was initially valued at approximately $1.3 billion on Coty's balance sheet. The transaction was designed to help Coty reduce its substantial debt burden, with approximately $2 billion of the proceeds allocated to pay down Term Loans A and B.
