Revelyst Acquisition

Revelyst was acquired by Strategic Value Partners for $1.1B on 3 January 2025.

The acquisition price implies a 0.9x revenue multiple on $1.3B of revenue.

Strategic Value Partners (SVP), a global alternative investment firm managing approximately $19 billion in assets under management, completed its all-cash acquisition of Revelyst from Vista Outdoor Inc. on January 3, 2025, for an enterprise value of $1.125 billion. Revelyst is a collective of maker brands designing and manufacturing performance gear and precision technologies, including bicycle-related brands, with operations across multiple international markets. The strategic acquisition positions SVP to leverage Revelyst's strong market presence and capitalize on growing demand for outdoor recreation and gear. The transaction was contingent upon Vista Outdoor's concurrent sale of its Kinetic Group division to Czechoslovak Group for $2.225 billion, with both transactions combined representing $3.35 billion in enterprise value and delivering approximately $45 per share in cash to Vista Outdoor stockholders. Revelyst stockholders received $20.12 per share in cash. SVP signaled intentions to accelerate Revelyst's GEAR Up transformation initiative, drive innovation across its brand portfolio, and propel margin expansion through SVP's operational resources and network. Houlihan Lokey assisted in arranging financing, with Fortress Credit Corp. and co-lenders providing a $450 million term loan facility to support the acquisition. Upon closing, Revelyst common stock ceased trading on the New York Stock Exchange.

Sep 2024SecondaryCzechoslovak Group (lead)$150M$1.1BRevelyst is a portfolio of outdoor and tactical equipment brands owned by Vista Outdoor prior to this transaction. In September 2024, Vista Outdoor announced a definitive agreement to sell Revelyst to SVP (Strnad Valley Partners) for $1.125 billion, representing an implied valuation of approximately $1.2 billion when considering the broader transaction structure. The sale of Revelyst was contingent upon the parallel completion of Czechoslovak Group's acquisition of Vista Outdoor's The Kinetic Group division for $2.225 billion, which together represented an enterprise value of $3.35 billion for Vista Outdoor's total operations. SVP's acquisition valued Revelyst at an estimated $19.25 per share in cash based on management estimates of expected net cash at closing. This transaction represented a strategic separation of two distinct business units within Vista Outdoor, allowing each company to pursue independent growth strategies and potentially achieve higher valuations as standalone entities.
