The acquisition price implies a 1.2x revenue and 12.5x EBITDA multiple on $3.7B of revenue.

Prosus, a global technology and ecommerce company, acquired Just Eat Takeaway.com (JET), a leading European food delivery platform, for €4.1 billion in an all-cash public offer at €20.30 per share announced on February 24, 2025. Just Eat Takeaway.com operates major food delivery brands across the United Kingdom, Germany, and the Netherlands, generating profitable and cash-generative operations with significant growth potential. The acquisition was unanimously recommended by JET's management and supervisory boards and represented a 49% premium over the company's three-month volume-weighted average price as of February 21, 2025. Prosus positioned the acquisition as an opportunity to extend its leadership in food delivery by combining JET's strong European brand position and market presence with Prosus's technical capabilities, investment expertise, and proven growth strategy demonstrated through its ownership of iFood in Latin America. The transaction was subject to regulatory approval from the European Commission, with the acceptance period extended to October 1, 2025, to align with the competition clearance timeline. The European Commission was expected to issue its decision on August 11, 2025, with settlement of shares scheduled for October 6, 2025. The offer was declared unconditional on October 9, 2025, with settlement completing on October 6, 2025, at which point Prosus held 90.13% of JET's issued share capital. Following the post-closing acceptance period, Prosus accumulated 98.19% of shares and initiated statutory squeeze-out proceedings to obtain 100% ownership. Just Eat Takeaway.com delisted from Euronext Amsterdam on November 17, 2025, following its last trading date on November 14, 2025.
