Oct 2021Undisclosed stageBregal (lead)$116M$695MInfoCert S.p.A., a subsidiary of Tinexta S.p.A., is a leading company in digital trust services, including certified electronic signatures and related cybersecurity solutions. On October 26, 2021, Tinexta announced a binding agreement for Bregal Milestone to invest Euro 100 million in a minority stake via a dedicated capital increase, with Euro 70 million at closing and Euro 30 million within 12 months, potentially up to Euro 130 million. The deal was subject to regulatory approvals including Golden Power authorization and was linked to InfoCert's acquisition of 60% of CertEurope S.A.S. from Oodrive. Bregal Milestone completed the initial Euro 70 million investment on February 3, 2022. The investment supports InfoCert's growth in digital trust and related services. Bregal Milestone, managing over Euro 1.1 billion, focuses on high-growth technology companies and is part of Bregal Investments with over Euro 12 billion in assets under management. Separately, InfoCert exercised an option in September 2025 to acquire the remaining 40% stake in CertEurope for approximately Euro 30.6 million, achieving 100% ownership financed with equity. This followed the 2021 agreement and full consolidation of CertEurope in Tinexta Group's results.
