This transaction valued the company at around 7x EBITDA, implying a full post-money valuation of approximately KRW1.045 trillion based on the multiple, amid POSCO's challenges with falling profits and consolidated debts of KRW39.6 trillion ($35.3 billion) as of March 2013. PSS, with a production capacity of 960,000 metric tons, supplies automotive, aviation, shipbuilding, and electronics industries. The company aimed to expand capacity to 2.5 million tons by 2020, targeting turnover of KRW4.5 trillion. POSCO had previously invested over $1 billion in PSS's Korean operations to shift toward higher-value steel products, but market downturns led to abandoning a $424 million IPO in December 2012, prompting the private equity sale for capital to fund expansion. The investment was described as a classic special situation by IMM's Jay Kim, with expectations of an attractive exit via IPO in 4-5 years upon steel industry recovery. PSS had met initial listing conditions previously. Later, in 2015, SeAH Besteel acquired a 54.82% stake in PSS from POSCO, IMM Rose Gold Private Equity Fund II, and others for adjusted terms around KRW439.87 billion for 19.77 million shares, closing March 18, 2015 after regulatory approvals.
