The investment gave Kerogen a 50% interest in Energean Israel, with Energean retaining the remaining 50%, subject to Israeli government approval. The proceeds were intended to finance the acquisition of the Karish and Tanin gas field leases (which Energean had acquired from Delek Group in December 2016 for $40 million upfront plus $108.5 million in contingent payments) and to fund key workstreams toward investment sanction, including FEED studies and a Field Development Plan being prepared in cooperation with TechnipFMC. The Karish and Tanin fields contained at least 2.4 trillion cubic feet of natural gas in contingent resources (per an NSAI report) and were planned to be developed through a floating production, storage and offloading (FPSO) vessel to deliver gas to the Israeli market starting in 2020. Energean, headquartered in Athens, Greece, was an established oil and gas operator with over 460 employees, existing operations including the Prinos field offshore northeastern Greece with audited 2P reserves of 30 million barrels, and additional contingent resources of 28 million barrels. The company planned to submit the Field Development Plan to the Israeli Government by May 2017 with the intention to reach final investment decision (FID) by the end of 2017.
