Athens Exchange Group Acquisition

Athens Exchange Group was acquired by Euronext for $603M on 24 November 2025.

The acquisition price implies a 6.7x revenue and 13.4x EBITDA multiple on $90M of revenue.

The Athens Stock Exchange (ATHEX), operator of Greece's primary equity and derivatives markets including subsidiaries Athens Exchange Clearing House and Hellenic Central Securities Depository, was acquired by Euronext, Europe's leading pan-European stock exchange operating venues in Amsterdam, Brussels, Dublin, Lisbon, Milan, Oslo, Paris, Belgium, France, Ireland, Italy, Netherlands, Norway, and Portugal with over 1,800 listed companies and €6 trillion market capitalization. Euronext launched a voluntary public share exchange tender offer on October 6, 2025, offering 0.050 new Euronext shares per ATHEX share (equivalent to 1 redemption share for every 20 ATHEX shares or 21.029 ATHEX shares per Euronext share valuing ATHEX at €6.90 per share), following a cooperation agreement signed July 30, 2025, and regulatory approval from the Hellenic Capital Market Commission (HCMC) that made the offer unconditional. The tender period ended November 17, 2025, with 42,953,405 shares (74% of voting rights) tendered, exceeding the 67% minimum acceptance threshold; Euronext issued consideration shares on November 21 and settled on November 24, 2025, securing majority ownership. Strategic rationale centers on Euronext's expansion into southern and Southeastern Europe, integrating ATHEX into its network to enhance Greek capital markets' global positioning, competitiveness, and Eurozone connectivity by migrating to Euronext's Optiq trading platform, cross-border clearing framework, and post-trade technology, while establishing a new Group-level support and technology center in Athens. ATHEX board unanimously supported the deal for operating resiliency, economies of scale, and European market harmonization; Euronext targets €12 million annual run-rate cash synergies by end-2028 through technology migration and function harmonization, with €25 million implementation costs, expecting accretion for shareholders post-synergies. Benefits include infrastructure uplift reducing costs and execution risk, improved visibility attracting institutional investors, and positioning Greece as a Southeast Europe financing hub for capital-raising and international listings.
