Priority Software Acquisition
Priority Software was acquired by Blackstone for $800M on 16 May 2024.
Before the acquisition Priority Software had raised $125M across 1 funding round.
Blackstone Growth and affiliated funds entered into a definitive agreement in May 2024 to acquire a majority stake in Priority Software, an Israeli enterprise software company providing mission-critical cloud-based ERP and business applications, at an $800 million valuation. Priority offers comprehensive solutions including Priority Business Applications for ERP, Priority Retail for omnichannel retail management, Priority Hospitality for property management, and Priority Education for pedagogical management, serving over 17,000 customers and 300,000 end users across industries like retail, hospitality, and education. The company employs 500 staff across five offices in Israel, the US, and Belgium, supported by more than 100 global partners, with total acquisitions since 2013 amounting to $215 million, including $107 million post-2020. Blackstone is purchasing the majority from existing investors Fortissimo Capital, which acquired Priority for $55 million in 2013, and TA Associates, which bought 50% from Fortissimo in 2020 at a $250 million valuation; both sellers are rolling over part of their stakes. This transaction marks Blackstone's largest deal in Israel since opening its office in 2021, leveraging its software expertise from over 230 portfolio companies to fuel Priority's expansion across industries, markets, and geographies. Advisors included Evercore as financial advisor to sellers, with legal counsel from Goodwin, Gornitzky for sellers, and Kirkland & Ellis, Meitar for Blackstone; terms beyond valuation undisclosed.
