Teleflex Incorporated (NYSE: TFX), a Wayne, Pennsylvania-based global provider of medical technologies with a diverse portfolio in vascular access, surgical, anesthesia, cardiac care, urology, emergency medicine, and respiratory care, acquired Palette to expand its Interventional Urology platform, which includes the UroLift® System. Teleflex announced the definitive agreement on July 26, 2023, and completed the acquisition on October 10, 2023, for an upfront cash payment of $600 million, plus up to $50 million in additional consideration tied to certain commercial milestones. Palette generated an estimated $56 million in standalone net revenue in 2023, with expectations of high-teens to low-20% year-over-year revenue growth in 2024. The deal is immediately accretive to Teleflex's adjusted gross margin, enhances operating margin near-term, and supports long-term growth objectives, though dilutive to adjusted EPS by $0.25 in 2023 and $0.35 in 2024 excluding non-recurring costs.
