Sep 2024SecondaryMaaden (lead)$1.1B$4.4BAlcoa Saudi Arabia operates as the Ma’aden Joint Venture, a fully integrated mining complex in Saudi Arabia established in 2009, comprising Ma’aden Bauxite and Alumina Company (MBAC) for bauxite mining and alumina refining, and Ma’aden Aluminium Company (MAC) for aluminum smelting and casthouse operations. Alcoa held a 25.1% ownership stake, with Ma’aden owning 74.9% prior to the transaction. On September 16, 2024, Alcoa agreed to sell its entire 25.1% stake in the joint venture to Ma’aden for approximately $1.1 billion in proceeds, consisting of Ma’aden shares and cash, implying a full enterprise valuation of about $4.38 billion for the JV. The deal simplifies Alcoa’s portfolio in Saudi Arabia, provides financial flexibility, and grants Ma’aden full ownership and operational control of its aluminum business. The transaction closed later, with Alcoa receiving around 86 million Ma’aden shares valued at $1.2 billion plus $150 million cash, resulting in Alcoa holding a 2.2-2.21% stake in Ma’aden post-deal. Alcoa’s carrying value in the JV was $545 million as of June 30, 2024, and the sale is expected to generate a gain for Alcoa.
