Aareon Acquisition

Aareon was acquired by TPG for $4.2B on 24 June 2024.

The acquisition price implies a 9.4x revenue multiple on $440M of revenue.

Before the acquisition Aareon had raised $308M across 1 funding round.

Aareon, a Mainz, Germany-based provider of Software-as-a-Service (SaaS) solutions for the property industry, enables seamless, automated end-to-end processes connecting property managers and owners across residential and commercial real estate sectors, with approximately 2,000 employees and annual revenue of $440 million. TPG, a Fort Worth-based private equity firm, is acquiring Aareon from Aareal Bank and Advent International through its U.S. and European private equity platform TPG Capital, in consortium with CDPQ as a minority co-investor; Advent will reinvest new equity for a minority stake, establishing Aareon as an independent company majority-owned by TPG. The deal, announced in June 2024, carries an enterprise value of approximately €3.9 billion ($4.2 billion), valuing Aareal Bank's equity stake at €2.1 billion, with closing expected in the second half of 2024 subject to customary conditions and approvals. The transaction provides Aareon with dedicated resources and expertise from TPG to drive innovation and growth, positioning it to capture opportunities in the property tech sector. Aareal Bank anticipates a net gain on sale of approximately €2 billion upon closing, after €150 million in transaction costs recognized in Q2 2024. Aareon's CEO Harry Thomsen highlighted the milestone, crediting prior owners for progress and welcoming TPG and CDPQ as strong partners amid efficient, sustainable property management demands.

Aug 2020Undisclosed stageAdvent International (lead)$308M$1.1BAareon is a leading European provider of Software-as-a-Service (SaaS) solutions for the real estate industry, offering property management software. On August 14, 2020, Advent International acquired a 30% stake in Aareon from Aareal Bank for approximately €310 million in cash, based on an enterprise value of €960 million and equity value of €860 million, with an additional earn-out of up to €50 million tied to performance conditions. The deal, advised by Arma Partners, required antitrust approvals and closed in Q4 2020 after European Commission approval. Aareal Bank retained majority ownership post-sale, forming a strategic partnership with Advent to drive Aareon's growth under the 'Aareal Next Level' strategy. The partners committed to a value creation plan targeting 'Rule of 40' performance by 2025 through organic growth, increased M&A activity, operational optimization, and access to expertise via a new Advisory Board. Advent joined Aareon's Supervisory Board, and the company was positioned to fund acquisitions with debt and additional equity from owners. For financial year 2019, Aareon reported sales revenues of €251.9 million, operating income of €28.8 million, and EBITDA of €61 million. This transaction valued the business at close to €1 billion in enterprise value terms, enabling Aareal to pursue further opportunities while strengthening Aareon's market position. The partnership proved successful, as evidenced by Aareon's later development into a 'Rule of 40' company with strong organic and inorganic growth. In 2024, Aareal Bank and Advent sold Aareon to TPG and CDPQ at an enterprise value of approximately €3.9 billion, with Aareal's stake valued at €2.1 billion, while Advent reinvested for a minority interest alongside the new owners.
