Shell Petroleum Development Company of Nigeria Acquisition

Shell Petroleum Development Company of Nigeria was acquired by Renaissance Africa Energy Company for $2.4B on 14 March 2025.

Shell Petroleum Development Company of Nigeria (SPDC) operates a major portfolio of onshore oil and gas assets in the Niger Delta, including 18 oil mining licenses, two export terminals, and pipelines supplying gas to Nigeria LNG Limited. It holds a 30% operating stake in the SPDC joint venture alongside Nigerian National Petroleum Corporation (55%), TotalEnergies (10%), and Eni (5%), managing production from onshore and shallow-water fields. Renaissance Africa Energy Holdings, a consortium of Nigerian firms ND Western, Aradel Holdings, First Exploration and Petroleum Development Company, Waltersmith Group, and international player Petrolin, manages assets worth over $3 billion, produces 100,000 barrels of oil per day across 12 oil mining leases, and operates two modular refineries in the Niger Delta. Renaissance completed the $2.4 billion acquisition of 100% equity in SPDC on March 13, 2025, following regulatory approvals from Nigeria's Federal Government, oil minister, NUPRC, and NNPCL, after a sale agreement signed in January 2024. The deal ends Shell's nearly century-long onshore operations in Nigeria, aligning with Western majors like ExxonMobil, Eni, and Equinor divesting similar assets amid challenges. SPDC was rebranded Renaissance Africa Energy Company Limited (RAEC), which now operates the JV on behalf of partners; Shell retains deepwater, integrated gas, and NLNG interests. Strategically, the acquisition indigenizes Nigeria's oil sector per the Petroleum Industry Act, boosts local capabilities, and supports Renaissance's vision for energy security and industrialization. Post-deal, Renaissance announced a $15 billion five-year investment plan for 32 Niger Delta projects, prioritizing gas exports to double capacity from 4 mcm/d to 8.5 mcm/d, enhancing oil production and monetization amid Nigeria's push for $10 billion in sector investments.
