DateStageInvestorsRaisedValuationDeal Summary
Jan 2025Undisclosed stageAbu Dhabi Investment Authority; RRJ Capital; BCI$1B$3.7BYinson Production, an indirect subsidiary of Yinson Holdings Bhd focused on FPSO business with a portfolio of 10 vessels, signed a definitive agreement on January 14, 2025, for a US$1 billion investment from a consortium led by a subsidiary of Abu Dhabi Investment Authority (ADIA), along with BCI and RRJ Capital. The investment is structured through redeemable convertible preferred shares (RCPS) and warrants issued by a new UK-based holding company, valuing Yinson Production at a post-money valuation of US$3.7 billion. The deal includes an option for an additional US$500 million within 24 months and dilutes Yinson's effective stake from 100% to potentially 57.6%, while retaining majority control. Proceeds primarily fund growth in FPSO projects expected in 2025-2026, including acquisition and conversion of vessels, with allocations also for renewable energy, green technology, debt repayment, and working capital. The first tranche of US$300 million closed, with US$200 million distributed to Yinson Holdings; the remaining US$700 million to be called by December 2026. The transaction, advised by UBS and A&O Shearman, closed in Q1 2025 after regulatory and shareholder approvals, positioning the company for opportunities in the robust FPSO market.
