OSTTRA Acquisition

OSTTRA was acquired by KKR for $3.1B on 14 April 2025.

OSTTRA, established in 2021 as a 50/50 joint venture between CME Group and S&P Global (following S&P's $44 billion acquisition of IHS Markit in 2022), provides post-trade solutions for the global over-the-counter (OTC) market across interest rates, foreign exchange, credit, and equity asset classes. The company offers end-to-end connectivity and workflow solutions, including trade processing, lifecycle management, and optimization, serving banks, broker-dealers, asset managers, and other market participants. With approximately 1,500 employees, OSTTRA operates as critical market infrastructure in the financial ecosystem. KKR, a New York-based global investment firm specializing in private equity, credit, infrastructure, and real estate, acquired OSTTRA from S&P Global and CME Group for a total enterprise value of $3.1 billion, subject to customary purchase price adjustments, with proceeds divided evenly between the sellers. The deal was announced on April 14, 2025, and completed on October 10, 2025, after receiving regulatory approvals. KKR invested primarily through its North American private equity strategy, which had deployed $160 billion and held $55 billion in available capital as of December 2024. OSTTRA's co-CEOs Guy Rowcliffe and John Stewart continued leading the management team post-acquisition. KKR committed to accelerating customer-centric growth by boosting investments in technology and innovation across OSTTRA's platform, while implementing a broad-based equity ownership program for all employees to enhance engagement, consistent with KKR's approach in over 60 portfolio companies since 2011.
