A consortium of 11 major banks—Bank of America, Barclays, BNP Paribas, Citi, Deutsche Bank, HSBC, J.P. Morgan, Morgan Stanley, Nomura, Societe Generale, and UBS—acquired a 20% stake for £170 million, valuing the entire business at £850 million. The transaction was announced in LSEG's Q3 2025 Trading Update on October 23, 2025, and is expected to close in 2025, with three bank-nominated directors joining the Post Trade Solutions board. In 2024, Post Trade Solutions generated £96 million in revenue and £16 million in normalised EBITDA. The deal strengthens strategic alignment with key customers, who are founding members of SwapClear, and includes amended revenue share arrangements reducing their SwapClear revenue surplus share from 30% to 15% in 2026 and 10% thereafter. LSEG will pay £1.15 billion to increase its SwapClear revenue surplus share to 90% by 2045, with £900 million in 2025 and £250 million in 2026. LSEG anticipates the transaction to be 2-3% accretive to adjusted earnings per share in 2025, enhancing margins and supporting further shareholder returns through a £1 billion share buyback by February 2026.
