Moda Midstream Operating, LLC was a liquids terminaling and logistics company operating North America's premier crude export facility, the Ingleside Energy Center, located near Corpus Christi, Texas. The facility featured very-large-crude-carrier (VLCC) capable infrastructure with deepwater dock capabilities and was strategically positioned to connect to low-cost reserves in the Permian and Eagle Ford basins. On September 7, 2021, Enbridge Inc. announced a definitive agreement to acquire Moda Midstream Operating from financial sponsor EnCap Flatrock Midstream for $3.0 billion in cash, subject to closing adjustments. The transaction also included Moda's Taft Terminal, a 20% interest in the Cactus II Pipeline, 100% of the Viola Pipeline, and a 50% interest in the St. James deep-water crude and refined products terminal development opportunity. Enbridge closed the acquisition on October 12, 2021, significantly advancing the company's U.S. Gulf Coast export strategy and providing immediately accretive benefits to distributable cash flow and earnings per share. Moda's founder Javier del Olmo joined Enbridge as a vice president, and existing management and key marine terminal personnel remained in place to ensure operational continuity.
