Feb 2021Strategic investmentBW Offshore$73MIdeol Offshore is a French developer of floating offshore wind technology, specializing in the patented Damping Pool foundation design. The company has over 10 years of experience in engineering and supporting floating offshore wind projects, with more than 60 employees, 90% engineers. It has installed two full-scale demonstration floating wind turbines, one in France and one in Japan, and was building a project pipeline as co-developer in Japan, the US, and Europe. On February 16, 2021, BW Offshore, an oil & gas services provider with offshore production expertise, signed a share purchase agreement to invest EUR 60 million in Ideol S.A., creating BW Ideol AS as a new entity. Ideol S.A. became a wholly owned subsidiary of BW Ideol, with Ideol's founders and employees transferring their holdings and retaining leadership. BW Offshore aimed for approximately 50% ownership post a contemplated capital raise and listing on Euronext Growth Oslo by end-March 2021, with Ideol management and employees at about 20%. The EUR 60 million investment funded the share acquisition, separate from a planned private placement of new shares. In March 2021, BW Ideol announced a private placement to raise NOK 500 million at NOK 47 per share, equivalent to a pre-money valuation of NOK 961 million, matching the NOK equivalent of the price paid for Ideol S.A. Net proceeds were for project pipeline development, working capital, and general purposes. BW Offshore participated as anchor investor, with pre-commitments like NOK 118 million from Kerogen Energy Fund II. The transaction closed in Q1 2021, subject to approvals, positioning BW Ideol as a fully integrated floating offshore wind player in technology/EPC, project development, and operations, leveraging BW Offshore's experience. BW Ideol targeted growth in floating wind amid emerging market potential.

The company has demonstrated its solution through full-scale projects in France and Japan, formed strategic partnerships, expanded internationally, and built a pipeline of commercial-scale floating offshore wind projects. On April 27, 2018, Ideol raised a €15 million equity funding round led by Kerogen Capital, which became the largest shareholder, with participation from existing investors Amundi Private Equity, Sofimac Regions (Sofimac Investment Managers), and Paca Investissement. Kerogen, an energy-focused private equity firm with over $2 billion in assets under management based in Hong Kong and London, made this its first renewable energy investment to accelerate Ideol's commercialization in markets like France, Scotland, California, Japan, and Taiwan. The funding secured long-term requirements and leveraged Kerogen's network in the energy sector, with Kerogen representatives joining the board. Subsequent developments include Kerogen rolling NOK 118 million of its Ideol interest into the 2021 creation of BW Ideol, a joint platform with BW Offshore for floating wind technology, EPC, development, and operations, ahead of listing on Euronext Growth Oslo.

The funding supports the industrialization of its floating platform solution based on the Damping Pool patented system for offshore wind turbines. This technology breakthrough enables floating foundations competitive with seabed-fixed technologies at 35-40 meter water depths, extending the offshore wind market by removing water-depth constraints and optimizing wind conditions.
