The deal, announced in July 2022 and closed February 2023, provided Deutsche Telekom over €10 billion in cash proceeds, reducing net debt including leases by €6.5 billion and enabling deleveraging at the group level. The transaction valued GD Towers at 27.3x its pro forma adjusted EBITDAaL of €640 million for 2021, with pro forma revenues of €1.1 billion that year. The investment was made through Pantheon Infrastructure Plc, the London-listed trust Pantheon manages, and was structured as a minority position in a co-investment vehicle managed by affiliates of DigitalBridge Group, the listed digital infrastructure investor then managing about 50 billion dollars of assets. GD Towers had been carved out of the infrastructure network owned by Deutsche Telekom, which retained a 49 per cent shareholding and remained the anchor tenant under a long-term master lease agreement; the acquisition of the controlling interest by DigitalBridge and Brookfield had been agreed in July 2022 and completed in early 2023. No valuation was disclosed in Pantheon's announcement. GD Towers is one of the largest independent tower and telecommunications infrastructure operators in Western Europe, with a portfolio of about 40,000 sites at the time of announcement, roughly 33,000 in Germany and 7,000 in Austria, providing the infrastructure on which mobile network operators deliver services to end customers. Pantheon said the business benefits from complementary tailwinds including regulatory-driven 5G coverage requirements and growing end-user demand for mobile 5G coverage, and that it regarded the estate as a highly attractive portfolio of core European digital infrastructure assets with strong downside protection from robust indexation and contracted cash flows. Richard Sem, the partner at Pantheon managing the trust, said the transaction allowed participation in the European telecommunications opportunity with a high-quality counterparty. Pantheon Infrastructure classified the holding within the digital infrastructure tower segment of its portfolio, where it was valued at 42.7 million pounds at 31 December 2024.
