About Open Fiber
Open Fiber is an Italian wholesale-only telecommunications infrastructure company headquartered in Milan, with operations led from Rome. It builds and operates fibre-to-the-home networks across Italy and sells access to telecom operators on equal terms rather than offering retail subscriptions. The company was established in December 2015 by Enel as Enel Open Fiber and took its current name in December 2016, after acquiring the Milan fibre operator Metroweb. It builds networks in cities with private investment and acts as concessionaire for publicly funded broadband programmes in less dense areas. Customers are retail telecom and internet providers, and revenue comes from long-term wholesale network access and connectivity contracts. It is owned by CDP Equity, part of Cassa Depositi e Prestiti, and Macquarie Asset Management.

| Dec 2025 | Strategic investment | CDP Equity | $336M | - | CDP Equity made EUR 285.927 million of capital payments to the Open Fiber holding structure during 2025. Open Fiber is an Italian wholesale-only fibre-to-the-home network operator established to build nationwide ultra-broadband infrastructure. It deploys and operates passive fibre networks and sells access on equal terms to telecommunications providers rather than offering retail internet subscriptions. Revenue comes from wholesale network-access and long-term connectivity contracts. The platform has received large recurring capital contributions to fund network construction in commercial and publicly supported areas. CDP Equity has been a strategic shareholder since the platform’s early development and later increased its ownership while Macquarie entered. The investment supports a neutral national digital-infrastructure network and competition in high-speed broadband services. The transaction is attributed to the CDP Equity house under legal-predecessor or controlled-vehicle continuity where the historical investor name differs. |

The transaction, finalized around late 2021 after agreements in August, included Enel receiving €2.65 billion total consideration for its 50% stake. Open Fiber was originally formed in 2015 by Enel and later partnered with CDP Equity. |

| Dec 2016 | Strategic investment | CDP Equity | $793M | - | CDP Equity, the investment arm of Cassa Depositi e Prestiti, became a 50% shareholder of Open Fiber on 20 December 2016, alongside Enel. Enel's board had approved the plan in July 2016: a capital increase of EUR 714 million reserved to Enel and CDP Equity to give Open Fiber the funds to buy Metroweb Italia, followed by the purchase of 100% of Metroweb from F2i and FSI Investimenti. On completion the company was renamed Open Fiber and the two shareholders held equal stakes, with Enel appointing the chief executive for the first five years and CDP the chairman. Open Fiber is an Italian wholesale-only fibre-to-the-home network operator founded by Enel in December 2015 to build an open-access broadband network across Italy. Combined with Metroweb's existing Milan fibre network, the platform was planned to cover cities and, as public-programme concessionaire, less dense areas. Customers are telecom operators that rent network access. |

Latest Acquisitions by Open Fiber
| Description | Metroweb Italia is the historical holding company for an Italian wholesale fibre-optic infrastructure platform. Its operating network began in Milan and grew into one of Europe’s densest metropolitan fibre systems, supplying dark fibre and connectivity infrastructure to telecommunications operators and service providers. The company generated revenue by leasing fibre capacity and related network access rather than by selling mass-market retail subscriptions. It later expanded through subsidiaries in Milan, Genoa and other cities and was used as a national broadband-development platform. Fondo Strategico Italiano invested to finance the replication of the Milan model across Italy. In 2016 Metroweb was acquired by Enel Open Fiber and its network assets became part of the Open Fiber platform, so it no longer maintains a separate active corporate website. |
