EVR operates world-class steelmaking coal assets in the Elk Valley region of British Columbia, Canada, with operations including Elkview, Fording River, and Greenhills mines. The acquisition strategically complements Glencore's existing thermal and steelmaking coal production in Australia, Colombia, and South Africa, strengthening its position as one of the largest diversified miners and suppliers of critical minerals globally, while broadening its ability to supply high-quality steelmaking coal, characterized as a transition-enabling commodity. The transaction structure included concurrent arrangements with other stakeholders: Nippon Steel Corporation (NSC) acquired a 20% interest in EVR and entered into a long-term steelmaking coal offtake rights agreement, while POSCO exchanged its 2.5% interest in Elkview Operations and 20% interest in the Greenhills joint venture for a 3% interest in EVR. Glencore also acquired attributable shareholder loans expected to total US$250-US$300 million at closing. Teck retained a 23% interest in EVR. The transaction closed on July 11, 2024, following receipt of final regulatory approval from the Government of Canada under the Investment Canada Act in July 2024. Glencore made significant commitments to the Canadian government regarding employment, environmental stewardship, and meaningful engagement with Indigenous Nations in the Elk Valley, and subsequently commenced a consultation process regarding a potential demerger of its combined coal and carbon steel materials business.
