Worldpay Acquisition

Worldpay was acquired by Global Payments for $24B on 17 April 2025.

The acquisition price implies a 4.8x revenue and 8.5x EBITDA multiple on $5.1B of revenue.

Global Payments announced on 17 April 2025 definitive agreements to acquire Worldpay from GTCR and FIS for a net purchase price of USD 22.7 billion, or a total value of USD 24.25 billion including USD 1.55 billion of anticipated tax assets, in a three-way transaction under which Global Payments simultaneously sold its Issuer Solutions business to FIS for USD 13.5 billion. The Worldpay price represented about 8.5 times adjusted EBITDA net of run-rate synergies. GTCR received cash and Global Payments shares for its 55 percent stake, and FIS exchanged its 45 percent interest largely for Issuer Solutions. Global Payments said the combination would create a pure-play merchant acquirer serving more than six million customers and processing about USD 3.7 trillion of annual volume across 175 countries, with USD 600 million of expected cost synergies. The transaction closed in January 2026 after regulatory approvals. Worldpay, headquartered in Cincinnati with a major London presence, is one of the largest payment processors in the world, providing merchant acquiring, e-commerce, point-of-sale and value-added payment services, and generated revenue of about USD 5 billion a year at the time of the announcement.
