V.Group Acquisition

V.Group was acquired by STAR Capital Partnership for $650M on 17 June 2024.

V.Group is the world's largest shipmanagement company and a global provider of mission critical services to the maritime industry, including technical management, crewing, catering, agency services, and marine insurance, operating a network of 60 offices across 30 countries. In June 2024, STAR Capital, a London-based European investment fund manager focused on businesses with strategic market positions and essential services, led a consortium including Ackermans & van Haaren and others to acquire V.Group from U.S. private equity firm Advent International, which had owned it since 2016. The deal, financed in part by fully underwritten debt from Hayfin's Direct Lending strategy, received regulatory consents and completed on September 18, 2024, marking the fourth investment for STAR's STAR IV Fund; financial terms were not disclosed. The acquisition endorses V.Group's client-focused strategy to be the 'Committed Partner of Progress for Everything at Sea,' providing a strong financial foundation to accelerate growth, investments in its shipping and services platform, and commitments to clients, seafarers, and responsible stewardship of the seas. STAR Capital, with prior successful investments in maritime sectors like shipyard Blohm+Voss and MPC Container Ships, views V.Group as an excellent fit due to its strong brand, leading position in a highly fragmented market, and appeal to fleet owners outsourcing services. V.Group CEO René Kofod-Olsen highlighted the positive response from customers and colleagues, while STAR Partner Aditya Bindal praised the management team's track record and vision for consistent value delivery. The transaction involved advisory from Mayer Brown for the buyer consortium, Kirkland & Ellis for seller Advent, and financial/tax due diligence from Kroll for STAR Capital, underscoring its complexity in a competitive maritime services landscape amid industry trends toward outsourcing and growth.
