Univar Solutions, a leading global distributor of specialty chemicals and ingredients, entered into a definitive merger agreement on March 14, 2023, to be acquired by funds managed by Apollo Funds in an all-cash transaction valuing the company at an enterprise value of approximately $8.1 billion. Shareholders received $36.15 per share, a 20.6% premium to the undisturbed closing price on November 22, 2022. The deal included a minority equity investment from a wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) and was financed with equity from Apollo Funds and a committed debt package. The transaction was unanimously approved by Univar Solutions' Board following a review of value creation opportunities. It closed on August 1, 2023, after which Univar Solutions ceased trading on the NYSE and continued operations as a private company under its existing name and leadership, with David Jukes as CEO. Apollo cited Univar's strong foundation, innovation track record, and growth potential in target end markets. The acquisition provided Univar with enhanced flexibility to pursue growth, leveraging its broad product offerings, digital tools, and service capabilities amid competitive chemical distribution dynamics.
