| Nov 2016 | Undisclosed stage | Warburg Pincus (lead) | $477M | $2.7B | 1&1 Internet SE provided SMBs with web hosting, domain registration, and digital services. In 2015, it reported revenues of €1 billion and EBITDA of €281.9 million; the deal represented a ~12.5x multiple on 2016E EBITDA (enterprise value/FV EBITDA). The transaction valued the division at an enterprise value of €2.55 billion, with an equity value of €1.35 billion after deducting €1.2 billion in intercompany loans from United Internet; Warburg Pincus agreed to pay up to €450 million for its stake (initial €334 million in H1 2017, plus up to €116 million on milestones and FX), closing in February 2017 after regulatory approvals. United Internet retained 66.67% ownership and full consolidation. Warburg Pincus gained supervisory board representation to support growth, including potential IPO. The enterprise value premium reflected market conditions for comparable assets. United Internet used proceeds for market consolidation. This stake later related to IONOS Group SE (rebranded from 1&1), which IPO'd in 2023 at €3.93-4.49 billion enterprise value, with United Internet (75.1%) and Warburg Pincus (24.9%) as shareholders. |
