Reworld Acquisition

Reworld was acquired by EQT for $5.3B on 14 July 2021.

The acquisition price implies a 2.6x revenue and 11.3x EBITDA multiple on $2B of revenue.

Reworld Holding Corporation, formerly Covanta Holding Corporation, is a North America-based waste management company operating over 100 facilities that process more than 20 million tons of waste annually for municipal, residential, commercial, and industrial customers, focusing on sustainable solutions like waste-to-energy, recycling, and zero-waste initiatives. EQT Infrastructure announced on July 14, 2021, its agreement to acquire Covanta for USD 5.3 billion enterprise value, including assumption of net debt, at USD 20.25 per share—a 37% premium to the unaffected share price—taking the company private in November 2021 after shareholder approval. The deal positioned EQT to support Covanta's growth in waste processing, energy production, and metals recycling, leveraging its 41 WtE facilities across the US, Canada, and Europe that generated about 10 TWh of electricity and 600k tons of recycled metals yearly. Since acquisition, Reworld has expanded through eight acquisitions, nearly doubled facilities, grown headcount by 800, and increased earnings by 50%, recently selling a 25% stake to GIC while EQT retains majority control to accelerate sustainable waste solutions amid rising demand and landfill constraints.
