ASA, an Oslo-based game-based learning platform that unlocks learning potential for children, students, and employees worldwide through engaging, gamified e-learning experiences across home, school, and work, received a recommended voluntary all-cash offer on July 14, 2023, from the Private Equity business within Goldman Sachs Asset Management, leading a consortium with co-investors General Atlantic (largest existing shareholder), KIRKBI Invest A/S (LEGO Group's investment arm), Glitrafjord AS (controlled by CEO Eilert Hanoa), and other investors and management shareholders. The offer priced all outstanding shares at NOK 35 per share, valuing the company at approximately NOK 17.2 billion (about $1.7 billion or €1.5 billion), representing a 53.1% premium over the May 22, 2023, Oslo Børs closing price of NOK 22.86; shareholders holding 34.20% of shares, including General Atlantic, KIRKBI, Glitrafjord, and management, committed via irrevocable undertakings.
