ClearChoice Management Services (CCMS) is a dental support organization that provides non-clinical practice support services to a network of ClearChoice Dental Implant Centers, specializing in fixed and removable prosthetics and full-arch dental restorations. As of the acquisition announcement, ClearChoice operated approximately 60 dental implant centers across the United States and had demonstrated strong market performance with annual growth exceeding 15-20% and over 100,000 patient restorations completed since its 2005 inception. Aspen Dental Management, a much larger DSO with over 860 locations in 42 states owned by private equity sponsors Ares Management, Leonard Green & Partners, and American Securities, announced the acquisition of ClearChoice from Sun Capital Partners in November 2020 for a purchase price of $1.135 billion. The transaction was funded almost entirely with debt, primarily through a $1.2 billion first lien senior secured term loan with management rollover equity. The acquisition was strategically designed to combine two leading dental brands and create the largest provider of fixed and removable prosthetics in the United States, with combined operations exceeding 1,000 healthcare locations across 45 states. The deal closed by year-end 2020 and was expected to generate synergies through enhanced procurement savings, accelerated innovation in digital dentistry and laboratory services, and operational integration while allowing ClearChoice to continue operating largely independently under its existing CEO.
