Calastone Acquisition

Calastone was acquired by SS&C Technologies for $1B on 21 July 2025.

The acquisition price implies a 9.4x revenue multiple on $109M of revenue.

Before the acquisition Calastone had raised $18M across 1 funding round.

Calastone, headquartered in London and operating the largest global funds network connecting over 4,500 financial organizations across 57 markets with offices in London, Luxembourg, Hong Kong, Taipei, Singapore, New York, and Sydney, was acquired by SS&C Technologies Holdings, Inc. (Nasdaq: SSNC), a global provider of investment and financial services software specializing in fund administration, transfer agency, AI, and intelligent automation. The deal, announced in July 2025, was completed on October 14, 2025, for approximately £766 million (US$1.03 billion) from global investment firm Carlyle, which had acquired a majority stake in 2020. SS&C funded the purchase with debt and cash, upsizing its Term Loan B facility by $1,050 million at SOFR+200% interest maturing in 2031. Calastone's 250 employees joined SS&C's Global Investor & Distribution Solutions division, reporting to General Manager Nick Wright, with no immediate changes to client operations. The strategic rationale centers on combining Calastone's network and technology with SS&C's capabilities to create a unified, real-time operating platform that reduces costs, complexity, and operational risk while enhancing distribution, investor servicing, and scalability for asset and wealth managers. SS&C Chairman and CEO Bill Stone highlighted accelerated innovation and geographic expansion, while Calastone CEO Julien Hammerson emphasized access to greater scale and new digital capabilities amid recent growth in ETFs, digital investments, and tokenization. The acquisition, subject to regulatory approvals met by Q4 2025, is expected to be accretive within 12 months, reinforcing SS&C's leadership in transforming global fund operations and ecosystem connectivity.
