The company was handling more than $6.7 billion in annual premiums at the time of the transaction. AmWINS was owned jointly by its management and Parthenon Capital Partners, which had acquired a majority stake in 2005 and subsequently grown the company aggressively through acquisitions. In March 2012, the owners initiated a sale process for AmWINS, expecting a valuation of approximately $1.5 billion. The auction attracted interest from private equity firms and strategic buyers, with Parthenon planning to sell its 50 percent stake while management would cede some ownership to provide the buyer with control of the company. Based on the company's 2011 EBITDA of $117 million, the proposed valuation represented a 13x EBITDA multiple. Financial Technology Partners LP advised AmWINS on the sale, while Goldman Sachs provided staple financing for the transaction. |
