Magnolia Oil & Gas announced on July 20, 2026 that it entered into a definitive agreement to acquire WildFire Energy for approximately USD 4.06 billion, inclusive of WildFire’s debt and subject to customary purchase price adjustments. The consideration includes 32.2 million shares of Magnolia’s Class A common stock, assumption of WildFire’s USD 600 million of outstanding notes due in 2029, and funding of the remaining amount through a balanced mix of cash on hand, debt, and new common equity. The transaction was unanimously approved by Magnolia’s board and is expected to close in late Q3 2026. The deal is intended to expand Magnolia’s position in the Giddings field in South Texas and add high-margin, low-decline assets. Magnolia said the acquired assets contribute approximately 53,000 Boe/d of production with about 70% oil weighting and a 29% base oil decline rate. Magnolia also highlighted expected annual synergies and cost savings of more than USD 100 million, with an estimated net present value of synergies of about USD 700 million. Magnolia’s presentation values the combined company at enterprise value of USD 9.11 billion, with Magnolia contributing USD 5.05 billion and WildFire USD 4.06 billion. The presentation also states the transaction adds about 37 MBOPD of oil production, lifts oil mix to roughly 50%, and is projected to support more than USD 4.5 billion of cumulative free cash flow through 2030. Magnolia reported second-quarter 2026 production of 106,100 Boe/d and raised its standalone 2026 production growth forecast to 6% from 5% around the announcement.
