EQT Corporation announced on September 6, 2022, a $5.2 billion acquisition of Tug Hill's upstream assets and XcL Midstream's gathering and processing assets, both backed by Quantum Energy Partners. The transaction, which closed on August 22, 2023, consisted of $2.4 billion in cash (after purchase price adjustments) and 49.6 million shares of EQT common stock. Tug Hill was a natural gas producer operating in the Appalachian Basin with among the lowest breakeven prices in the region. The acquisition was strategic for EQT as it provided low-cost production assets with attractive free cash flow profiles and included midstream gathering and processing capacity, which was critical given limited excess midstream capacity in Appalachia at the time. EQT projected the combined assets would produce over 1 million barrels of oil equivalent per day and expected to realize over $80 million in annual synergies while reducing the company's NYMEX-based free cash flow breakeven price by approximately $0.15 per MMBtu. The deal represented the largest shale acquisition announced in 2022.

In 2007, Tug Hill partnered with Chief Oil & Gas and collectively built a land position exceeding 600,000 acres in the Marcellus shale, with Radler serving as interim COO at Chief from 2009 to 2012 as the companies developed and monetized portions of their Marcellus acreage. Quantum Energy Partners, founded in 1998, was at that time a leading provider of private equity capital to the global energy industry with more than $7.5 billion in equity commitments under management. The partnership combined Tug Hill's technical and operating expertise with Quantum's capital access and financial capabilities to pursue opportunities in capital-intensive shale plays and conventional fields across the United States. The THQ partnership later became known as THQ Appalachia, focusing on exploration and production in West Virginia; in August 2023, Quantum sold the Tug Hill and XcL Midstream portfolio to EQT Corporation for approximately $5 billion. |
