Apr 2016Undisclosed stageFairfax India Holdings (lead)$300M$1BThe Sanmar Group (also referred to as Sanmar Chemicals Group) is a Chennai-based, family-owned Indian petrochemical company chaired by N. Sankar, recognized as one of India's largest producers of suspension polyvinyl chloride (PVC), with manufacturing facilities in India and Egypt. It also produces caustic soda, chloromethanes, refrigerant gases, industrial salt, and specialty chemical intermediates, positioning it among the largest PVC companies globally through its operations including TCI Sanmar Chemicals Egypt. On April 8, 2016, Fairfax India Holdings Corporation announced a $300 million investment into Sanmar through a combination of equity and fixed-income securities, acquiring a 30% equity ownership stake. Fairfax India funded the initial tranche of $250 million in April 2016 via its Mauritius subsidiary, with the second $50 million tranche completed in September 2016 by Fairfax Financial Holdings or another investor. The transaction was subject to conditions like establishing a $280 million term loan for the Egyptian subsidiary and was designed to generate fixed returns alongside the equity stake. This investment valued Sanmar at an implied post-money enterprise value of $1 billion, as the $300 million bought 30% equity. Fairfax India highlighted Sanmar's technical expertise, business acumen, integrity, and corporate social responsibility. N. Sankar welcomed Fairfax as a long-term partner to support capacity expansions in Egypt and India, creating stakeholder value. In 2018, Fairfax India agreed to settle the $300 million bonds (equivalent to INR 19.9 billion) at approximately $388 million (INR 28.2 billion) including 13% annual interest, recording gains of $252 million from the investment amid positive operational developments.
