Repsol retained 75% ownership, operational control, and consolidation of the business. The transaction exceeded analysts’ consensus valuations and included an enterprise value to 2P reserves ratio of $8.3 per barrel. Proceeds of $3.4 billion strengthened Repsol’s balance sheet and supported reinvestment in its renewable energy division as part of its multi-energy transformation and net zero emissions goal by 2050. Repsol and EIG agreed to the possibility of listing a minority stake in the US market from 2026, subject to favorable market conditions.
